1. Purpose & Application

1.1 This Seller Fees & Program Schedule (“Schedule”) forms part of, and must be read together with, the Seller Terms & Conditions and any applicable program addenda.

1.2 This Schedule sets out the fees, charges and commercial arrangements applicable to sellers using the Circular Sourcing platform.

1.3 Circular Sourcing may update this Schedule from time to time in accordance with the Seller Terms.

2. Surplus Selling Programs

2.1 Surplus Starter

Surplus Starter is a free, entry-level program for eligible sellers listing surplus materials.

Fees:

– Monthly subscription fee: $0

– Service & Administration Fee: 30% of total product sale price (excluding shipping)

– One time listing fee (for each listing exceeding included limit of 15 SKUs): A$25.00 per SKU

2.2 Surplus Pro

Surplus Pro is a paid, month-to-month program offering reduced fees and enhanced services.

Fees:

– Monthly subscription fee: A$59 p/month

– Service & Administration Fee: 20% of total product sale price (excluding shipping)

– One time listing fee (for each listing exceeding included limit of 50 SKUs): A$20.00 per SKU

Surplus Pro subscriptions may be cancelled at any time in accordance with the Seller Terms.

3. Verified Circular Program

3.1 The Verified Circular Program is a subscription-based service governed by a separate Verified Circular Program Addendum.

3.2 Products listed under the Verified Circular Program are not transacted through the Circular Sourcing marketplace checkout and are not subject to Service & Administration Fees.

3.3 Fees, term length and inclusions are agreed separately with each participating Seller and may include:

– annual or monthly subscription fees;

– verification, data structuring and DPP-related services; and

– visibility and access services.

4. Transaction & Payment Processing Fees

4.1 Payment processing fees are charged on total order value by third-party providers and are deducted from transaction amounts.

Indicative fees (subject to provider changes):

– Stripe (card payments): 1.7% + $0.30 AUD per transaction

– PayPal: 2.6% + $0.30 AUD per transaction

4.2 Transaction fees are non-refundable, including where a refund is issued to a Buyer.

5. Refunds, Adjustments & Service Recovery Fees

5.1 Where a refund is required due to:

– inaccurate stock levels;

– incorrect meterage; or

– Seller error resulting in order cancellation,

Circular Sourcing may apply an A$20.00 service recovery fee per affected transaction.

5.2 Circular Sourcing may offset outstanding fees, recovery charges or adjustments against Seller payouts.

6. Shipping & Delivery Charges

6.1 Service & Administration Fees are not charged on shipping costs.

6.2 Shipping charges:

– for cut lengths and swatches may be set or standardised by Circular Sourcing; and

– for full rolls or bulk freight may be determined by the Seller, where applicable.

6.3 Once a Buyer has fully completed a purchase, shipping charges must not be increased.

7. Taxes

7.1 All fees are exclusive of GST unless stated otherwise.

7.2 Where applicable, GST on Circular Sourcing fees will be charged and retained by Circular Sourcing.

7.3 Sellers are responsible for their own tax obligations in respect of sales made through the platform.

8. Changes to Fees

8.1 Circular Sourcing may amend this Schedule with at least 14 days’ notice, except where changes relate to pilots, promotions or new services, which may take effect immediately.

8.2 Continued use of the platform after changes take effect constitutes acceptance of the updated Schedule.
