1. About These Terms

These Buyer Terms & Conditions (“Terms”) apply to all buyers, browsers and visitors who access or purchase Products through the Circular Sourcing platform (“Circular Sourcing”, “we”, “us”, “our”).

Circular Sourcing is an open marketplace. Anyone may browse or purchase Products, including individuals, students, makers and businesses. Business registration (ABN or international equivalent) is not required to make a purchase.

By accessing or using the platform, or by purchasing a Product, you agree to be bound by these Terms.

These Terms apply together with:

– the Refunds & Returns Policy;

– the Fabric Faults Policy; and

– the Buyer & Seller Etiquette Guidelines.

If there is any inconsistency, these Terms prevail unless expressly stated otherwise.

2. Marketplace Role

2.1 Circular Sourcing operates a digital sourcing and marketplace platform for surplus and circular textile materials.

2.2 Except where expressly identified otherwise, Circular Sourcing is not the seller of Products listed on the platform.

2.3 Circular Sourcing acts as a payment collection agent for Sellers, facilitating payment between Buyers and Sellers.

2.4 In addition to providing a marketplace, Circular Sourcing may offer services including material curation, sampling, showroom access, verification, data structuring, impact estimation, and sourcing support.

2.5 These services do not make Circular Sourcing the seller of Products, do not transfer Seller obligations to Circular Sourcing, and do not create any partnership, joint venture or agency beyond payment collection.

2.6 Where a Product is sold directly by Circular Sourcing World Pty Ltd, Circular Sourcing will be identified as the Seller on the relevant listing and will act as merchant of record for that transaction.

3. Buyer Accounts & Eligibility

3.1 Buyers must be legally capable of entering into binding contracts.

3.2 Buyers are responsible for maintaining accurate account information and safeguarding login credentials.

3.3 Buyers are responsible for all activity conducted through their account.

4. Business Buyer Accounts

4.1 Circular Sourcing may offer additional services or benefits to registered Business Buyer Accounts.

4.2 Any such services may be complimentary, modified, withdrawn or made subject to fees at any time, with notice provided via the platform or email.

5. Product Listings & Visual Representation

5.1 Product images, videos and descriptions are provided for general guidance only.

5.2 Colour representation is indicative only. Differences in screen calibration, lighting conditions, dye lots and personal perception mean colour variation does not constitute a fault or misdescription.

5.3 Buyers are strongly encouraged to order swatches or view samples prior to placing bulk orders where colour precision is required.

6. Purchasing, Pricing & Shipping

6.1 Prices are listed exclusive of applicable taxes unless stated otherwise.

6.2 Shipping charges are displayed at checkout where available.

6.3 For full fabric rolls or bulk freight, shipping may be determined by the Seller after purchase. Buyers may request an indicative shipping quote prior to ordering.

6.4 Once an order is placed, Buyers enter into a firm commitment to purchase the Product.

6.5 For international orders, Circular Sourcing will:

– confirm shipping costs with the Seller after the order is requested; and

– issue an updated total invoice reflecting final shipping charges.

6.6 Buyers must complete payment of any updated invoice within the timeframe specified. Failure to do so may result in cancellation of the order and release of the inventory.

6.7 Circular Sourcing and Sellers reserve the right to cancel unpaid international orders where payment is not completed within a reasonable period.

7. No Change of Mind

7.1 Sales on Circular Sourcing are generally final.

7.2 Change-of-mind returns are not accepted, including where a Buyer decides they no longer want or need a Product.

8. Returns & Refunds

8.1 Returns are accepted only in limited circumstances, as set out in the Refunds & Returns Policy.

8.2 Products may be eligible for return where:

– they are faulty or damaged beyond acceptable limits; or

– they are materially misdescribed.

8.3 Returns based on colour variation, aesthetic preference or subjective judgement are not accepted.

9. Fabric Faults

9.1 Buyers acknowledge that surplus and circular materials may contain minor faults.

9.2 Acceptable fault thresholds and fault definitions are set out in the Fabric Faults Policy.

9.3 Accurately disclosed faults are not grounds for return.

10. Impact, Circularity & Sustainability Data

10.1 Any impact, environmental or circularity data provided by Circular Sourcing, including through calculators, dashboards or reports, is:

– informational only;

– based on best-available datasets, proxies and inferred values; and

– not a substitute for a full life cycle assessment (LCA).

10.2 Circular Sourcing impact tools and calculators (including any avoided impact, carbon, water or material recirculation metrics) are approved for use only in relation to Products purchased directly through the Circular Sourcing platform.

10.3 Buyers must not:

– apply Circular Sourcing impact outputs to materials not purchased via Circular Sourcing;

– reproduce, extrapolate or reference Circular Sourcing impact data in relation to third-party or external materials;

– present Circular Sourcing impact outputs as product-level certification, verification or regulatory compliance.

10.4 Buyers may use Circular Sourcing impact data for internal evaluation, reporting and decision-making only, unless otherwise agreed in writing.

10.5 Buyers must not use Circular Sourcing impact data in public-facing marketing, claims or disclosures without independent verification and express written permission from Circular Sourcing.

11. Seller Anonymity & Confidentiality

11.1 Some Sellers operate under alias store names.

11.2 Buyers must not publicly disclose the identity of Sellers or attempt to identify or promote Seller identities.

11.3 Where Buyers reference sourcing in public or commercial contexts, Circular Sourcing must be identified as the source, not the underlying Seller.

11.4 This clause does not prevent disclosures required by law.

12. Non-Circumvention

12.1 Buyers must not attempt to complete or facilitate transactions outside the Circular Sourcing platform.

12.2 Requests to transact off-platform may result in warnings, suspension or termination of Buyer accounts at Circular Sourcing’s discretion.

13. Chargebacks & Disputes

13.1 Buyers must not initiate chargebacks without first following the Refunds & Returns Policy.

13.2 Where a Buyer initiates a chargeback, Circular Sourcing may suspend dispute handling and restrict or terminate the Buyer account.

14. International Orders

14.1 Buyers are responsible for all import duties, taxes, customs clearance and regulatory requirements applicable to international shipments.

14.2 Circular Sourcing is not responsible for delays, seizures or actions taken by customs or other authorities.

15. Platform Use & Conduct

15.1 Buyers must comply with the Buyer & Seller Etiquette Guidelines.

15.2 Breaches may result in account restrictions or termination.

16. Intellectual Property & Permitted Use

16.1 All content available on the Circular Sourcing platform, including but not limited to product listings, descriptions, images, videos, specifications, data, impact metrics, verification outputs, comparisons, calculators and platform-generated materials (together, Platform Content), is owned by or licensed to Circular Sourcing.

16.2 Buyers are granted a limited, non-exclusive, non-transferable licence to access and use Platform Content solely for internal evaluation, sourcing, procurement and decision-making purposes.

16.3 Buyers must not, without prior written consent from Circular Sourcing:

– copy, reproduce, scrape or extract Platform Content for external or competitive use;

– publish, distribute or publicly display Platform Content;

– use Platform Content to source materials outside the Circular Sourcing platform;

– use Platform Content to reverse-engineer supplier lists or supply chains;

– remove watermarks, branding or attribution.

16.4 This clause does not prevent Buyers from retaining internal records required for procurement, compliance, audit or internal approvals.

16.5 Any unauthorised use of Platform Content may result in suspension or termination of Buyer accounts and may give rise to legal action.

17. Disclaimers & Liability

17.1 To the extent permitted by law, Circular Sourcing excludes liability for indirect or consequential loss.

17.2 Products and services are provided on an “as is” basis.

18. Indemnity

Buyers indemnify Circular Sourcing against losses arising from misuse of the platform, breach of these Terms or unlawful conduct.

19. Governing Law

These Terms are governed by the laws of Victoria, Australia, and disputes are subject to the exclusive jurisdiction of Victorian courts.

These policies may be updated from time to time.
